Terms of Service

These terms cover use of this website and the DentaCloudPH service in general. If your clinic subscribes to a paid plan, the Subscriber Agreement is the document that governs that subscription, and the Refund & Cancellation Policy governs refunds. Where any of them differ, the Subscriber Agreement and the Refund Policy take precedence over this page.
This is a draft and has not been reviewed by a lawyer. It must not go live in this form. Have Philippine counsel review it against RA 10173 and your actual data-handling practices, and update it whenever those practices change.
1. Agreement
These terms govern your use of DentaCloudPH. By creating an account you agree to them. If you are agreeing on behalf of a clinic, you confirm you are authorised to bind it.
2. The service
DentaCloud is cloud dental clinic management software provided on a subscription basis. We may add, change or remove features; we will not remove a material feature you are paying for without notice.
3. Your account
You are responsible for the accuracy of your account details, for keeping credentials secure, and for the actions of every user account your clinic creates. Tell us promptly if you believe an account has been compromised.
4. Free trial
New clinics get a fourteen-day free trial on the Solo plan, with that plan’s own allowances. No payment method is required to start it, and it does not become a paid subscription on its own. We email an invoice about a week before the trial ends; it is an invitation to choose a plan, not a charge.
If you do nothing, the trial simply ends and your clinic becomes read-only — you can still sign in, read everything in it and export it, and you can start a plan later without losing what you set up. Nothing is charged automatically, and nothing is deleted.
5. Fees and billing
- Prices are in Philippine pesos and are shown on the pricing page. AscenderTek Solutions OPC is non-VAT registered, so the published price is the full amount payable and no VAT is added to it.
- Nothing is charged to you automatically. We issue an invoice about a week before each period starts, with a payment link that stays valid for 30 days, and you pay it yourself.
- Monthly plans bill monthly; annual plans bill annually at twelve times the monthly price. The two free months are a first-year offer, taken once per clinic, not a standing discount — renewals are at the normal annual price.
- Add-ons are paid up front for the rest of the current period, and then bill on your normal billing date.
- An upgrade is invoiced for the prorated difference and takes effect when that invoice is paid; your billing date does not move. A downgrade takes effect at the end of the period you have already paid for.
- Refunds are governed by the Refund & Cancellation Policy. In short: charges made in error and duplicate charges are refunded in full; an annual plan cancelled within 30 days of payment is refunded pro-rata for the whole months not yet started; a first-ever payment on an unused clinic can be refunded within 7 days; otherwise the subscription runs to the end of the period paid for.
- An unpaid invoice does not close your account or delete anything. Access steps down — full access for the first 7 days, then read-only, with no end date and no automatic suspension. We write an invoice off after 90 days rather than accumulate it, and you can export your data in every one of those states.
- Material changes to price are notified to your registered email address before they take effect.
6. Your data
Patient records and clinic data you put into DentaCloud remain yours. We process them to provide the service and in accordance with our Privacy Policy. You can export your data at any time, including after cancelling; export files stay available for 7 days after they are generated, and a new export can be produced at any time. After termination, or on your written request, we delete your data subject to any retention the law requires — so export anything you need to keep before asking for deletion, because deletion is not reversible.
7. Acceptable use
Do not use DentaCloud to break the law, to store data you have no right to store, to attempt to breach the security or isolation of the service, or to resell access without our agreement.
8. Availability
We work to keep the service available and back it up, but except where a separate written service level agreement applies, the service is provided without an uptime guarantee. Planned maintenance will be notified in advance where practical.
9. Suspension and termination
You may cancel at any time. We may suspend or terminate an account for non-payment or for a serious breach of these terms, and will give notice and a chance to fix the problem except where the law or an urgent security issue prevents it.
10. Liability
To the fullest extent permitted by Philippine law, neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. We are not liable for indirect or consequential loss, loss of profit or goodwill, or loss arising from your own users’ actions or from your failure to control access to your account. Our total aggregate liability is limited to the subscription fees you paid in the twelve months preceding the event giving rise to the claim. Clause 11 of the Subscriber Agreement states this in full.
11. Governing law
These terms are governed by the laws of the Republic of the Philippines. The parties submit to the exclusive jurisdiction of the courts of San Mateo, Rizal — the municipality of the provider’s principal office.
